These Terms of Service ("Terms") govern your use of the Verby desktop application and the verbyai.com website (collectively, the "Service"), operated by Syntrix LLC ("we," "our," or "us"). By downloading, installing, or using Verby, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using Verby, you confirm that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using Verby on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date on this page. Your continued use of Verby after any changes constitutes acceptance of the updated Terms.
2. Account Registration
To access certain features of Verby (such as Verby Pro), you may need to create an account by providing your email address. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us immediately at verbysupport@syntrixdev.com if you suspect unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
3. Description of the Service
Verby is an AI-powered voice dictation desktop application for macOS and Windows. The application runs locally on your computer and uses your microphone to capture speech, which is then transcribed using OpenAI Whisper and optionally processed by AI language models for cleanup, formatting, or enhancement. The resulting text is injected at your cursor position in any application.
To function properly, Verby requires the following system permissions:
- Microphone access — to capture your voice for transcription
- Accessibility access — to inject transcribed text at your cursor position across applications
- Screen recording access (macOS) — to detect the active application and cursor context
These permissions are used solely for the core functionality of the application. We do not use these permissions to collect, store, or transmit any data beyond what is necessary for transcription and text injection.
4. Subscriptions and Billing
Free tier: Verby offers a free tier that includes up to 20 dictations per day at no cost. No payment information is required for the free tier.
Verby Pro: Verby Pro is available as a paid subscription at $9 per month or $79 per year. Pro subscribers receive unlimited dictations and access to premium features.
Payment processing: All payments are processed securely by Stripe. We do not store your credit card number or full payment details on our servers. Stripe's Terms of Service and Privacy Policy govern payment processing.
Billing cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Cancellation: You may cancel your subscription at any time through your billing portal or by contacting us at verbysupport@syntrixdev.com. Upon cancellation, you will retain access to Pro features until the end of your current billing period.
Refund policy: We offer a 14-day, no-questions-asked refund policy. If you are unsatisfied with Verby Pro for any reason, contact us at verbysupport@syntrixdev.com within 14 days of your purchase for a full refund. Refunds after 14 days are granted at our sole discretion.
Price changes: We reserve the right to adjust pricing. If we change the price of your subscription, we will notify you at least 30 days in advance. The new price will apply at the start of your next billing cycle after the notice period.
5. Acceptable Use
You agree to use Verby only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use Verby to generate, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to reverse engineer, decompile, disassemble, or otherwise extract the source code of the Verby application
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Circumvent, disable, or tamper with any security, usage-limiting, or license-enforcement features of the Service
- Use automated means (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable use
- Resell, sublicense, or redistribute the Service or access to it without our written permission
- Use the Service to infringe on the intellectual property rights of any third party
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
We reserve the right to suspend or terminate your access to Verby if we determine, in our sole discretion, that you have violated these acceptable use terms.
6. Intellectual Property
Our property: The Verby application, website, branding, logos, documentation, and all related intellectual property are owned by Syntrix LLC and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Your content: You retain full ownership of any text, audio, or other content you create or process using Verby. We do not claim any ownership or license over your content. As described in our Privacy Policy, we do not store your voice recordings or transcribed text after processing.
License to use Verby: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Verby application on your personal devices for personal or commercial use.
Feedback: If you provide us with suggestions, feedback, or ideas regarding the Service, you grant us a worldwide, royalty-free, perpetual license to use, modify, and incorporate that feedback without obligation to you.
7. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Verby, you agree to the collection and use of information as described in the Privacy Policy.
Key points:
- Voice recordings are processed in real time and are not stored after transcription
- Transcribed text is not retained on our servers after delivery to your device
- Your audio is transmitted over encrypted (HTTPS) connections to third-party AI services (OpenAI, Anthropic) for processing
- These third-party services have their own privacy policies and data handling practices
8. Third-Party Services
Verby relies on third-party services for core functionality, including OpenAI (for speech recognition via Whisper and text processing), Anthropic (for AI text processing), and Stripe (for payment processing). These services are governed by their own terms and privacy policies. We are not responsible for the practices, availability, or performance of third-party services.
Temporary outages or changes to third-party services may affect Verby's functionality. We will make reasonable efforts to minimize disruptions but cannot guarantee uninterrupted service.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Transcription results will be accurate, complete, or suitable for any particular purpose
- The Service will meet your specific requirements
- Any defects in the Service will be corrected
You acknowledge that voice recognition technology is inherently imperfect and that transcription accuracy may vary based on factors including accent, background noise, microphone quality, and speech clarity. You are solely responsible for reviewing and verifying any text generated by Verby before using it.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Syntrix LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of (or inability to use) the Service, regardless of the theory of liability.
In no event shall our total aggregate liability to you for all claims arising out of or related to the Service exceed the greater of (a) the amount you paid to us for the Service in the twelve (12) months preceding the claim, or (b) fifty dollars ($50 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Syntrix LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
By you: You may stop using Verby at any time by uninstalling the application and, if applicable, canceling your subscription. No further obligations will apply after termination, except that you remain responsible for any outstanding charges.
By us: We may suspend or terminate your access to Verby at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.
Effect of termination: Upon termination, your license to use Verby is immediately revoked. Sections of these Terms that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall continue to apply.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may also notify you via email (if you have a Pro account) or through a notice within the application.
Your continued use of Verby after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with any changes, you should stop using the Service and cancel any active subscription.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through the courts of competent jurisdiction in the State of Texas.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Syntrix LLC.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Syntrix LLC regarding the Service and supersede all prior agreements and understandings, whether written or oral.
